1) Definitions
Client means any person or entity ordering services or using the platform to manage an order.
Professional means a vetted individual or firm engaged by AMSS or via our platform on a monthly basis (1–12 months) to provide ongoing services to Clients.
Partner means a trusted, specialized third-party provider to whom we may refer or connect a Client when a request falls outside our in-house scope.
Packages are pre-defined bundles offered within our seven core service lines, each with scope, deliverables, and price ranges presented in-app or on the website.
Order means a Client’s purchase of a Package or a custom scope through our platform.
Subscription means a month-to-month or fixed-term (1–12 months) engagement for professional services billed on a recurring basis.
2) Eligibility & Accounts
- You must be at least 18 years old and capable of forming a binding contract. Organizational users warrant they are authorized to bind their entity.
- Provide accurate, complete information and keep it updated. You are responsible for maintaining the security of your account and credentials and for all activity under it.
- We may refuse, suspend, or terminate accounts for any reason (e.g., risk, fraud, policy violations), with or without notice subject to applicable law.
3) Scope of Services
AMSS WORKS enables Clients to: (a) order from seven core service lines (e.g., Business Formation, Content Creation, Marketing & Ads, Websites, Mobile Apps, Software, and SEO/other), (b) select up to five packages per service line, (c) subscribe to ongoing professional help (monthly terms 1–12), and (d) be connected to a Partner if a request falls outside our in-house scope. Service descriptions, deliverables, timelines, and prices are shown at checkout and may vary by region, complexity, and availability.
We continually improve and may add, modify, or remove features. Certain features may be labeled “beta,” “preview,” or similar and provided as-is.
4) Orders & Packages
- Proposal & Acceptance. Order details appear in the app or website before payment. We may accept or decline any order. An order is binding only when we confirm it (e.g., by email or in-app status update).
- Client Inputs. You agree to provide timely inputs (brand assets, access credentials, questionnaires, approvals) and to respond within reasonable times so we can progress your project. Delays in your inputs may shift timelines.
- Changes in Scope. Requests outside the ordered package (or after sign-off) may require a change order, revised timeline, and additional fees.
- Estimates & Timelines. Any dates are estimates unless expressly labeled firm milestones. We’ll communicate early about risks or blockers.
5) Professional Hiring (Monthly 1–12)
- Engagement Types. You may hire an AMSS-managed Professional for ongoing work on a monthly basis (1–12 months). Unless expressly stated otherwise in writing, Professionals are independent contractors, not your employees and not agents of AMSS.
- Billing. Subscriptions renew automatically each month for the agreed term unless canceled per these Terms. Monthly fees cover the agreed capacity/scope outlined in the plan description. Overage or off-plan work may require additional fees or a scope update.
- Scheduling & Availability. We coordinate working hours and communication channels. Reasonable time off, holidays, or illness will be accommodated with notice; we will endeavor to provide continuity if extended absence occurs.
- Compliance. Client remains responsible for lawful use of work product and for complying with industry rules (e.g., healthcare, finance, privacy). Professionals do not provide legal, tax, medical, or investment advice.
6) Partner Marketplace & Referrals
- Trusted Network. When a request is outside our in-house scope, we may introduce you to a vetted Partner. Partners are independent third parties and set their own prices, terms, and schedules.
- Separate Contracts. Your contract with a Partner (if any) is directly between you and that Partner. AMSS is not a party to, nor responsible for, the Partner’s performance unless we expressly agree in writing to manage the engagement.
- Fees & Disclosures. AMSS may receive referral fees or revenue share from Partners; this does not increase your price for a referred project. We disclose material conflicts where required.
- No Endorsement Warranty. We strive to connect you with excellent specialists but cannot guarantee outcomes for third-party work. See Disclaimers and Liability limits below.
7) Pricing, Payments, Taxes
- Payment Methods. We use secure third-party processors (e.g., Square or similar). By paying, you agree to their terms and privacy policies. We do not store full card details.
- When You’re Charged. One-time packages are charged at order acceptance unless otherwise stated. Subscriptions are charged on the billing date each month. Late or failed payments may pause work and access.
- Taxes. Prices are exclusive of applicable taxes. You are responsible for sales, use, VAT/GST, or similar taxes required by law.
- Currency. All amounts are in U.S. dollars unless stated otherwise.
8) Cancellations & Refunds
- One-Time Packages. You may cancel before work starts for a full refund. After work starts, refunds (if any) are pro-rated based on completed milestones, external costs incurred, and resource time allocated.
- Subscriptions. Cancel any time; your plan remains active through the current paid month and will not renew. We do not pro-rate partial months unless required by law.
- Change of Mind. If you change direction after approval or delivery, additional work may require a new order.
9) Delivery, Milestones & Revisions
- Milestones. We organize work into clear milestones with review windows. Prompt feedback helps keep timelines on track.
- Revisions. Each package includes a stated number of revision cycles. Additional revisions may be purchased.
- Acceptance. Deliverables are deemed accepted upon (a) your written approval, (b) production launch, or (c) 7 days after delivery if no rejection is submitted with specific, reasonable grounds.
10) Intellectual Property
- Pre-Existing IP. Each party retains ownership of its pre-existing materials, tools, frameworks, and know-how.
- Work Product. Upon full and final payment, AMSS assigns to the Client all right, title, and interest in the specific deliverables created for the order (excluding AMSS tools, templates, and third-party components), subject to any open-source or third-party license terms disclosed at delivery.
- AMSS Tools & Templates. To the extent our underlying tools and reusable components are embedded in deliverables, we grant you a perpetual, worldwide, non-exclusive license to use them as incorporated in that deliverable.
- Third-Party Materials. We may use libraries, fonts, stock assets, or APIs under their respective licenses. You agree to comply with those licenses as applicable.
- Trademarks. AMSS WORKS and our marks may not be used without permission. You grant us a limited right to list you as a customer and display non-confidential results unless you opt out in writing.
11) User Content
You are responsible for content you upload or provide (e.g., text, images, data, credentials). You represent you have the rights to provide it and that it does not infringe others’ rights or violate law. You grant AMSS a license to host, process, and display your content solely to provide the Services and fulfill your orders.
12) Acceptable Use
- No unlawful, harmful, or fraudulent activity; no malware or attempts to breach, probe, or overload our infrastructure.
- No infringement, defamation, harassment, or violation of privacy, publicity, or intellectual property rights.
- No scraping, rate-limiting bypass, or use of bots that interferes with normal operations.
- No submission of sensitive personal data unless strictly necessary and requested within a secure workflow.
13) Third-Party Services
Our Services may integrate with third-party services (hosting, analytics, payment processors, app stores, communication tools). Those services are governed by their own terms and privacy policies. We are not responsible for third-party acts or omissions.
App Stores. If you obtained the app via Apple App Store or Google Play, your use is also subject to their terms. Apple and Google are third-party beneficiaries to the extent required by their policies.
14) AI-Assisted Features
Some tools (e.g., naming, captions, estimators) may leverage AI. Outputs can be inaccurate or incomplete; you must review before use. Do not rely on AI for legal, medical, financial, or safety-critical decisions. You are responsible for ensuring your use of outputs complies with law and third-party rights.
15) Confidentiality
Each party may receive confidential information (“Confidential Information”). The receiving party will use reasonable care and only use such information to perform under these Terms, except where disclosure is required by law. This section does not restrict information that is public, already known without duty, independently developed, or rightfully obtained from a third party.
16) Privacy
Your use of the Services is subject to our Privacy Policy (linked or provided in-app). We apply reasonable administrative, technical, and physical safeguards appropriate to our Services. No system is 100% secure; please use strong passwords, enable device security, and contact us with any concerns.
17) Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICES AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OR SPECIFIC BUSINESS RESULTS.
18) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AMSS NOR ITS AFFILIATES OR SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO AMSS FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 6 MONTHS BEFORE THE EVENT.
Some jurisdictions do not allow certain exclusions/limitations; in those cases, the above will apply to the fullest extent permitted.
19) Indemnification
You agree to defend, indemnify, and hold harmless AMSS and its officers, directors, employees, and agents from claims, damages, liabilities, costs, and fees (including reasonable attorneys’ fees) arising from your: (a) misuse of the Services, (b) violation of these Terms or law, (c) content, or (d) contracts with Partners.
20) Dispute Resolution & Arbitration
Friendly Resolution First. Contact us so we can try to resolve informally.
Arbitration. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a reputable provider under its rules. The seat shall be Los Angeles County, California, and the language English. You and AMSS waive any right to a jury trial.
Class Action Waiver. Disputes must be brought in an individual capacity, not as a plaintiff or class member in any class or representative action.
You may seek relief in small-claims court if eligible. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.
21) Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and applicable federal law.
22) Term & Termination
These Terms begin when you first use the Services and continue until terminated. You may stop using the Services at any time. We may suspend or terminate access (with notice where required) for violations, risk, non-payment, or legal compulsion. Sections that by nature should survive (e.g., IP, confidentiality, payments owed, disclaimers, limits, indemnity, dispute resolution) will survive.
23) Changes to Services or Terms
We may update the Services and these Terms to reflect improvements, legal requirements, or market conditions. Material changes will be notified in-app, by email, or on this page with a new effective date. Continued use after the effective date constitutes acceptance.
24) Notices & Communications
We may contact you via the app, website, or email tied to your account. You agree to keep your contact details current and to receive transactional communications. Marketing messages are optional and subject to your consent and settings.
25) Miscellaneous
- Entire Agreement. These Terms (plus referenced policies or order forms) are the entire agreement and supersede prior understandings.
- Assignment. You may not assign without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
- Export & Sanctions. You warrant you are not located in, or a resident of, a sanctioned country or on a denied party list, and you will not use the Services contrary to export laws.
- Severability. If a provision is unenforceable, the remainder remains in effect.
- No Waiver. A failure to enforce is not a waiver of rights.
- Force Majeure. We are not liable for delays caused by events beyond reasonable control.
